How to Register a Private Limited Company in India: Complete Guide
Registering a Private Limited Company in India involves several steps under the Companies Act, 2013. The process requires obtaining Digital Signature Certificates (DSC), Director Identification Numbers (DIN), name approval, and filing the SPICe+ incorporation form with the Ministry of Corporate Affairs (MCA).
Before starting the registration process, ensure you have at least two directors and two shareholders. At least one director must be an Indian resident (stayed in India for at least 182 days in the previous financial year). There is no minimum paid-up capital requirement, making it accessible for startups and small businesses.
Step 1: Obtain Digital Signature Certificates (DSC) for all proposed directors. A Class 3 DSC is required for signing electronic documents on the MCA portal. The cost typically ranges from Rs. 1,000 to Rs. 2,000 per certificate, and it is valid for two years.
Step 2: Apply for Director Identification Numbers (DIN). As of the latest MCA updates, DIN is automatically allotted through the SPICe+ form, eliminating the need for a separate DIR-3 application. Up to three directors can obtain DIN through a single SPICe+ filing.

Step 4: Prepare the Memorandum of Association (MOA) and Articles of Association (AOA). These documents define the company's objectives, scope of activities, and internal governance rules. They must be digitally signed by all subscribers.
Step 5: File the SPICe+ (INC-32) form along with e-MOA (INC-33) and e-AOA (INC-34). This integrated form covers company incorporation, PAN, TAN, DIN allotment, EPFO registration, ESIC registration, and GST registration in a single submission.
Step 6: After verification by the Registrar of Companies (ROC), you will receive the Certificate of Incorporation (COI) containing your Corporate Identity Number (CIN), PAN, and TAN. The typical timeline is 7-10 working days if documents are complete and accurate.
Post-incorporation, you must comply with ongoing requirements including holding a minimum of four board meetings per year, filing annual returns (MGT-7), financial statements (AOC-4), and maintaining statutory registers.
